These Terms of Service ("Terms") govern access to and use of the website velvetspider.tech and the professional services offered by VelvetSpider("VelvetSpider", "we", "us", or "our"), located at Rua Da Liberdade 107 1 ESQ, 4835-065 Guimarães, Portugal. By using this website, requesting a quote, or purchasing services from us, you agree to these Terms.
1. Who we are

2. Services
We provide custom professional services, including SaaS-related services, IT solutions, branding, web design and development, and digital consulting. Specific deliverables, timelines, and fees are defined in a written quote, proposal, or statement of work ("SOW") that you accept before work begins.
This website does not sell physical goods and does not operate an automated self-serve product catalog. Engagements are custom-scoped.
3. Quotes, currency, and acceptance
Quotes are provided in USD unless we expressly agree otherwise in writing. A quote is an invitation to contract and is not binding until you accept it and we confirm the engagement (typically via email or signed SOW). Quotes may expire on the date stated in the quote document.
4. Payments
Fees, deposits, and milestone payments are as set out in your accepted quote or SOW. Invoices and card payments are processed by Stripe. VelvetSpider does not store your full payment card details on our servers. You are responsible for providing accurate billing information and paying amounts when due.
Unless otherwise stated in the SOW, work begins after the agreed deposit or initial payment is received.
5. Client responsibilities
You agree to:
- Provide timely feedback, content, and access needed for delivery
- Ensure you have rights to materials you supply to us
- Designate a decision-maker for approvals
- Pay invoices according to the agreed schedule
Delays in client input may extend timelines without liability on our part for resulting schedule changes.
6. Intellectual property
Unless otherwise agreed in writing: (a) we retain ownership of our pre-existing tools, frameworks, and know-how; (b) upon full payment of all amounts due for a deliverable, you receive ownership of final custom deliverables created uniquely for you under that SOW; and (c) we may showcase non-confidential work in our portfolio unless you request confidentiality in writing.
7. Acceptable use of the website
You may not misuse this website, attempt unauthorized access, scrape content at scale, submit malicious code, or use our contact channels for spam or unlawful purposes.
8. Warranties and limitation of liability
Services are provided with reasonable professional care. Except where prohibited by law, we do not guarantee uninterrupted website availability or specific commercial results. To the fullest extent permitted by applicable law, our aggregate liability arising out of an engagement is limited to the fees you paid us for the specific services giving rise to the claim in the three (3) months preceding the event. We are not liable for indirect, incidental, or consequential damages.
Nothing in these Terms excludes liability that cannot be excluded under Portugal law.
9. Refunds, cancellation, and delivery

10. Privacy
How we handle personal data is described in our Privacy Policy.
11. Disputes and chargebacks
If you are dissatisfied, please contact us first at info@velvetspider.tech or +351 923 327 451 so we can try to resolve the issue. Initiating a chargeback without contacting us may delay resolution; we will respond to payment disputes with relevant project records.
12. Governing law
These Terms are governed by the laws of Portugal. Courts of Portugal shall have jurisdiction, without prejudice to any mandatory consumer protections that may apply.
13. Changes
We may update these Terms from time to time. The "Last updated" date will change when we do. Continued use of the website after updates constitutes acceptance of the revised Terms for website use. Active SOWs remain governed by the terms in force when they were accepted, unless both parties agree otherwise.
